Terms of Service

1. Services
SetupNemoClaw provides white-glove deployment services for OpenClaw AI agents, including infrastructure provisioning, security configuration, OAuth integration, workflow setup, and a 14-day hypercare support period. Our engagement is a one-time deployment service — there is no ongoing subscription or retainer unless explicitly agreed in writing. Additional support or changes beyond the agreed scope may be quoted separately.
2. Payment
The full one-time deployment fee is due and payable before deployment work begins. Work will not commence until payment has been received and confirmed. Due to the bespoke nature of the service — which involves dedicated engineering time from the first day of engagement — no refunds will be issued once deployment has started. If a project is cancelled before work begins, a full refund will be provided. All prices are listed in USD and exclude applicable taxes.
3. Client Responsibilities
To complete a successful deployment, clients must provide timely access to the required systems, accounts, and credentials as requested by the SetupNemoClaw team. Clients are responsible for responding to setup questions within a reasonable timeframe — delays caused by the client may extend the deployment timeline. Clients must also maintain the server, cloud environment, or hardware on which OpenClaw is deployed after the hypercare period ends. SetupNemoClaw is not responsible for outages or degraded performance caused by client-side infrastructure failures.
4. Intellectual Property
OpenClaw is an open-source project distributed under the MIT License. SetupNemoClaw does not claim ownership of the OpenClaw framework. The custom configuration, workflow scripts, and deployment artifacts produced by SetupNemoClaw specifically for a client engagement are licensed to that client upon completion of payment. SetupNemoClaw retains the right to use general methodologies, patterns, and learnings from engagements to improve its services, without disclosing client-specific information.
5. Limitation of Liability
SetupNemoClaw's services are provided on an "as-is" basis. While we take every reasonable measure to ensure a reliable and secure deployment, we make no warranties — express or implied — regarding uninterrupted operation, fitness for a particular purpose, or guaranteed business outcomes. SetupNemoClaw shall not be liable for any indirect, incidental, or consequential damages, including but not limited to lost revenue, lost data, or business disruption, arising from the use or inability to use our services. Our total liability in any circumstances shall not exceed the amount paid for the deployment in question.
